ChangeSnap Terms of Service

1. Eligibility and Authority

You must be legally capable of entering into contracts. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Account and Security

• You are responsible for account credentials and activity under your account.
• You must provide accurate account information and keep it current.
• You must promptly notify us of unauthorized access or security incidents.

3. Service Scope; No Legal, Engineering, or Financial Advice

The Service assists with document creation, communication, and workflow automation. The Service does not provide legal advice, engineering determinations, tax advice, accounting advice, or project-management guarantees. You are solely responsible for reviewing, verifying, and approving all outputs before use.

4. User Content and Responsibility

You retain ownership of content you submit, upload, or generate through the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content solely to operate, secure, improve, and support the Service.

You are solely responsible for User Content, recipient selections, legal compliance, and contractual commitments arising from your use of the Service.

5. Acceptable Use

You agree not to:

• Use the Service unlawfully or in violation of third-party rights.
• Upload malicious code, attempt unauthorized access, or disrupt operations.
• Reverse engineer, scrape, or exfiltrate data beyond permitted use.
• Use the Service to send spam, deceptive notices, or fraudulent documents.

6. AI-Generated Content Disclaimer

The Service may use machine-generated outputs. AI outputs may contain errors, omissions, or inaccurate assumptions. You are responsible for independent review and validation of all generated content prior to distribution or reliance.

7. Communications and E-Signatures

By using messaging and signature features, you represent that you have rights and permissions to contact recipients and request signatures. You are responsible for compliance with applicable messaging, consent, and e-signature laws.

8. Fees, Subscriptions, and Billing

Paid features may be offered through subscriptions or usage plans. Pricing, billing intervals, and terms are displayed at purchase. Unless stated otherwise, subscriptions auto-renew until canceled. Purchases made via Apple are managed through your Apple account settings and subject to Apple's billing terms.

9. Suspension and Termination

We may suspend or terminate access if we reasonably believe you violated these Terms, created legal risk, compromised security, or used the Service in a harmful or abusive manner. You may stop using the Service at any time.

10. Intellectual Property

Except for your User Content, all rights in the Service, including software, trademarks, and documentation, are owned by ChangeSnap or its licensors. No rights are granted except as expressly stated in these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENON AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENON'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO TENON FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Tenon and its affiliates from claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles. Any dispute not subject to arbitration will be brought exclusively in state or federal courts located in Delaware, and each party consents to jurisdiction and venue there.

Before filing a claim, the parties agree to attempt informal resolution by written notice within 30 days.

15. Arbitration and Class Action Waiver

To the extent permitted by law, disputes will be resolved by binding individual arbitration and not as class, collective, consolidated, or representative actions. If this section is found unenforceable for a particular claim, the remainder of these Terms remains in effect.

16. Changes to Terms

We may update these Terms from time to time. Updates are effective when posted unless stated otherwise. Your continued use after updates means you accept the revised Terms.
